Comprehensive Service Agreement

ARTICLE I: DEFINITIONS AND INTERPRETATION
1.1 Definitions
For purposes of this Service Agreement ("Agreement"), the following terms shall have the meanings set forth below:
- "Company," "we," "us," or "our" refers to PrimeInstall LLC, a limited liability company duly organized and existing under the laws of the State of New York, with its principal place of business located in New York City, New York, engaged in the business of professional installation services.
- "Client," "you," or "your" refers to the individual person, business entity, property owner, tenant, property manager, or authorized representative who books, schedules, requests, authorizes, or accepts installation services from Company, and includes any successors, assigns, heirs, executors, administrators, or legal representatives of such party.
- "Services" refers to all installation work, repairs, consultations, assessments, technical support, and related professional services provided by Company, including but not limited to TV mounting, security camera installation, electrical work, smart home automation, handyman services, emergency repairs, and any ancillary or supplementary work performed in connection with such services.
- "Property" or "Premises" refers to the residential, commercial, or mixed-use real property, building, structure, unit, dwelling, or location where Services are to be performed, including all improvements, fixtures, and appurtenances thereto.
- "Work Order" or "Service Order" refers to any written, electronic, or verbal agreement specifying the scope, specifications, pricing, and terms of specific Services to be performed, whether documented through online booking systems, email communications, telephone conversations, or in-person consultations.
- "Technician" or "Worker" refers to any employee, independent contractor, subcontractor, agent, or representative of Company who performs Services on behalf of Company, including licensed electricians, installation specialists, handymen, project managers, and support personnel.
- "Equipment" refers to all third-party manufactured products, devices, materials, fixtures, mounts, brackets, cables, and components installed, integrated, or utilized in connection with Services, whether supplied by Client, Company, or third parties.
- "Force Majeure" refers to any event, circumstance, or condition beyond the reasonable control of either party, including but not limited to acts of God, natural disasters, extreme weather, earthquakes, floods, fires, explosions, pandemics, epidemics, governmental actions, civil unrest, terrorism, war, strikes, labor disputes, utility failures, supplier failures, material shortages, transportation disruptions, or any other unforeseeable event that prevents or delays performance of obligations under this Agreement.
1.2 Rules of Construction and Interpretation
In interpreting and enforcing this Agreement, the following rules of construction shall apply:
- References to "including" or "such as" shall be deemed to mean "including without limitation" and shall not be construed as limiting the generality of any preceding description or category.
- Headings, captions, and section titles are for reference convenience only and shall not affect the interpretation or construction of this Agreement.
- The singular shall include the plural and vice versa; the masculine shall include the feminine and neuter genders; and references to persons include corporations, partnerships, and other legal entities.
- References to statutes, regulations, or ordinances include all amendments, replacements, and successor provisions.
- The terms "shall," "will," and "must" are mandatory and create binding obligations; "may" is permissive and grants discretion.
- All monetary amounts are stated in United States Dollars (USD) unless explicitly stated otherwise.
- Time periods shall be calculated using calendar days unless otherwise specified, with time being of the essence for all payment obligations.
ARTICLE II: ACCEPTANCE AND FORMATION OF CONTRACT
2.1 Binding Nature of Agreement
This Agreement constitutes a legally binding contract between Client and Company governing all aspects of the professional relationship and Services provided. By engaging Company's Services through any means whatsoever, Client expressly acknowledges, agrees, and consents to be bound by all terms, conditions, limitations, disclaimers, warranties, obligations, and restrictions set forth in this Agreement, together with Company's Terms of Service, Privacy Policy, Liability Disclaimer, Worker Protection Policy, and Acceptable Use Policy, all of which are incorporated herein by reference and collectively form the complete agreement between the parties.
2.2 Methods of Acceptance
Client's acceptance of this Agreement and consent to be bound may occur through any of the following methods, each of which shall constitute full and complete acceptance:
- Electronic Acceptance: Clicking "I Agree," "Accept," "Book Now," "Continue," or similar affirmative buttons or checkboxes on Company's website, mobile application, or electronic booking platform.
- Written Acceptance: Signing physical or electronic Work Orders, service contracts, proposals, estimates, or any other documents presented by Company.
- Verbal Acceptance: Providing verbal confirmation, authorization, or agreement during telephone communications, in-person conversations, or video consultations with Company representatives.
- Payment Submission: Submitting payment, deposits, advance fees, or providing credit card information for Services constitutes acceptance of all terms.
- Granting Access: Providing physical access to Premises, supplying keys or access codes, scheduling appointments, or otherwise facilitating Service performance.
- Conduct-Based Acceptance: Any action, conduct, or behavior demonstrating Client's intent to engage Services, accept Company's performance, or benefit from Company's work, including but not limited to requesting modifications, providing installation specifications, or directing Technicians.
2.3 Authority and Capacity
Client represents, warrants, and covenants that:
- Client has full legal capacity, authority, and right to enter into this Agreement and engage Services;
- If acting on behalf of a business entity, Client has proper authorization from such entity to bind it to this Agreement;
- If Client is a tenant, property manager, or agent, Client has obtained all necessary permissions and authorizations from property owners, landlords, building management, homeowner associations, or other controlling entities;
- Client is at least 18 years of age and possesses the mental capacity to understand and agree to these terms;
- This Agreement creates valid, binding, and enforceable obligations upon Client;
- Entering into this Agreement does not violate any other agreement, court order, or legal restriction to which Client is subject.
Any person scheduling, booking, or authorizing Services represents and warrants that they have authority to bind the property owner and all occupants to this Agreement. Such person shall be personally liable for all obligations if authorization is later determined to be insufficient.
ARTICLE III: SCOPE OF SERVICES
3.1 Comprehensive Service Offerings
Company provides a full spectrum of professional installation, repair, maintenance, and consulting services designed to enhance property functionality, security, entertainment capabilities, and automation systems. Company maintains all licenses, permits, insurance coverage, and professional qualifications required by federal, state, and local authorities to perform such Services throughout New York City's five boroughs.
Television and Display Mounting Services:Professional installation of televisions, monitors, digital displays, and entertainment systems on walls, ceilings, and custom mounting structures. Services encompass complete assessment of mounting surface structural integrity; selection of appropriate mounting hardware based on display weight, size, and wall composition; precision mounting ensuring level alignment and secure attachment; comprehensive cable management including in-wall wire concealment, cable conduits, and wire raceways; soundbar mounting and audio system integration; entertainment center shelving installation; component installation including streaming devices, game consoles, and media players; television calibration and setup assistance; and post-installation support for questions or adjustments.
Company specializes in mounting on diverse wall types including standard drywall with wood studs, plaster and lath walls common in pre-war buildings, concrete and masonry walls, brick walls both interior and exterior, metal studs, and specialized surfaces. Technicians are trained to identify structural considerations and select appropriate anchoring systems for each specific installation scenario.
Security Camera and Surveillance System Installation:Complete design, installation, configuration, and integration of security camera systems tailored to Client's security requirements, property layout, and budget. Services include comprehensive security assessment and camera placement consultation; installation of wired and wireless camera systems from leading manufacturers; mounting of indoor cameras, outdoor cameras, doorbell cameras, and specialty cameras; professional wiring and cable routing for powered camera systems; network configuration ensuring reliable connectivity and remote access; Digital Video Recorder (DVR) and Network Video Recorder (NVR) setup and configuration; mobile application installation and user training for remote monitoring; motion detection zone configuration; night vision and infrared camera setup; integration with existing security systems and smart home platforms; ongoing technical support and system maintenance.
Company provides both residential security solutions for homeowners seeking enhanced property protection and commercial security installations for businesses requiring comprehensive surveillance coverage, compliance with insurance requirements, and professional-grade monitoring capabilities.
Licensed Electrical Work and Repairs:Professional electrical services performed by licensed, insured electricians in full compliance with National Electrical Code (NEC), New York State electrical regulations, and New York City Department of Buildings requirements. Electrical services include installation of electrical outlets and receptacles in new locations; replacement and upgrade of existing outlets including conversion to GRFCI outlets in wet locations; installation of USB charging outlets and combination outlets; light fixture installation including chandeliers, pendant lights, recessed lighting, and track lighting; ceiling fan installation with optional remote control integration; electrical switch installation and replacement including dimmer switches, smart switches, and multi-way switching; circuit breaker replacement and electrical panel troubleshooting; installation of dedicated circuits for high-power appliances; whole-house surge protection installation; electrical safety inspections; troubleshooting of electrical faults, flickering lights, dead outlets, and circuit trips; and emergency electrical repairs.
All electrical work is performed by New York State licensed electricians carrying appropriate liability insurance and workers' compensation coverage as mandated by law. Company obtains all required electrical permits and ensures inspections are completed when code requires. Clients receive documentation of permits, inspections, and electrical work performed for property records and future reference.
Smart Home Automation and IoT Integration:Comprehensive installation, programming, and integration of smart home devices, internet-of-things (IoT) products, and home automation systems designed to enhance convenience, energy efficiency, security, and lifestyle. Services encompass smart thermostat installation including Nest, Ecobee, and Honeywell systems with WiFi configuration and mobile app setup; smart lighting systems including Philips Hue, LIFX, Lutron Caseta, and other platforms with voice control integration; smart door locks and access control systems including Yale, August, Schlage Encode, and keyless entry solutions; video doorbell installation including Ring, Nest Hello, and Arlo doorbells with visitor detection and two-way communication; smart speaker and voice assistant setup including Amazon Alexa, Google Home, and Apple HomeKit integration; home automation hub installation and device pairing; motorized window treatments and smart blinds; smart plug and outlet installation for appliance control; integration of disparate smart home systems into unified control platforms; and creation of automation routines and scenes for enhanced convenience.
Company provides consultation on smart home ecosystems, compatibility considerations, network requirements, and future expandability to ensure Clients select appropriate systems meeting their needs, technical capabilities, and budget constraints.
General Handyman and Property Maintenance Services:Skilled handyman services addressing diverse residential and commercial property maintenance, repair, and improvement needs. Services include furniture assembly for items from IKEA, Wayfair, Amazon, and other retailers; installation of shelving systems, closet organization, and storage solutions; picture hanging, mirror mounting, and artwork installation with precision leveling; installation of curtain rods, blinds, and window treatments; door hardware installation including handles, locks, hinges, and door closers; minor carpentry including trim installation, baseboard repair, and cabinet adjustments; repair of drywall damage, holes, and surface imperfections; painting and touch-up work; installation of bathroom accessories including towel bars, toilet paper holders, and shower caddies; replacement of sink faucets and fixture upgrades; minor plumbing repairs not requiring licensed plumber; weather stripping and draft prevention; and various household repairs and maintenance tasks.
Handyman services are billed on an hourly basis with transparent pricing for labor time and materials. Technicians carry diverse tools and common supplies to complete most tasks during initial visits, minimizing need for return trips and additional charges.
Emergency Repair and 24/7 Service:Company maintains emergency service capabilities to address urgent installation, repair, and troubleshooting needs arising outside normal business hours or requiring immediate attention due to safety concerns, security vulnerabilities, or critical system failures. Emergency services include electrical hazards requiring immediate intervention such as sparking outlets, burning smells, or complete power failures; security system malfunctions compromising property security; smart lock failures preventing access to premises; critical appliance or system failures requiring urgent electrical repairs; and other emergency situations where delay would result in significant property damage, safety risks, or severe inconvenience.
Emergency services are subject to premium pricing reflecting after-hours availability, immediate dispatch requirements, and prioritization over scheduled appointments. Clients requesting emergency services acknowledge and accept applicable emergency service rates and fees as communicated at time of service request.
Introduction and Acceptance of Terms
This Service Agreement ("Agreement") constitutes a legally binding contract between PrimeInstall LLC, a registered and licensed home installation service provider operating in New York City ("Company," "we," "us," or "our"), and the individual or entity engaging our services ("Client," "you," or "your"). By booking, scheduling, confirming, or accepting any installation or service work from PrimeInstall LLC, Client acknowledges that they have read, understood, and agree to be bound by all terms, conditions, warranties, disclaimers, and limitations set forth in this Agreement.
This Agreement governs all professional installation services provided by Company, including but not limited to TV mounting and wall mounting services, security camera installation and surveillance systems, electrical work and electrical repairs, smart home automation and IoT device installation, smart lighting and climate control systems, custom electrical solutions, handyman services, emergency repair services, and any related work performed at Client's request. Company maintains all required NYC Department of Buildings licenses, general liability insurance, and workers' compensation coverage as mandated by New York State law.
Client's acceptance of this Agreement may occur through multiple means including electronic signature, verbal confirmation, payment submission, granting site access to technicians, or any action demonstrating intent to engage our services. Once accepted, this Agreement becomes immediately enforceable and binding upon both parties.
1. Scope of Services and Service Areas
Company provides comprehensive professional installation services throughout New York City's five boroughs. Our licensed and insured technicians specialize in residential and commercial installation projects designed to enhance property functionality, security, entertainment, and automation capabilities.
1.1 Service Offerings
Company offers the following categories of installation and repair services:
- TV Mounting and Wall Mounting Services: Professional installation of televisions, monitors, displays, and entertainment systems on various wall types including drywall, concrete, brick, plaster, and wood studs. Services include wire concealment, cable management, soundbar mounting, component shelving installation, and television calibration.
- Security Camera Installation: Complete surveillance system design and installation including wired and wireless camera systems, DVR/NVR setup, network configuration, mobile app integration, motion detection setup, night vision configuration, and ongoing system maintenance.
- Electrical Work and Repairs: Licensed electrical services including outlet installation and replacement, light fixture installation, ceiling fan installation, electrical panel upgrades, circuit breaker replacement, GFCI outlet installation, USB charging outlet installation, dimmer switch installation, and electrical troubleshooting.
- Smart Home Automation: Comprehensive IoT device installation and integration including smart thermostats, smart lighting systems, smart door locks and access control, video doorbells, smart speakers and voice assistants, home automation hubs, motorized window treatments, and whole-home integration solutions.
- Handyman Services: General property maintenance and repair including furniture assembly, shelf and closet organization installation, picture and mirror hanging, door hardware installation, minor carpentry work, and various household repairs.
- Emergency Services: 24/7 emergency repair services for urgent electrical issues, security system failures, access control malfunctions, and critical home system problems requiring immediate attention.
1.2 Geographic Service Coverage
Company provides installation services throughout all five boroughs of New York City. Our technicians are experienced working in diverse property types including pre-war buildings, modern high-rises, brownstones, townhouses, single-family homes, multi-family dwellings, commercial offices, retail spaces, and mixed-use properties. We maintain familiarity with building codes, structural considerations, and property management requirements specific to each borough and neighborhood.
Manhattan Service Areas: We provide full-service installation coverage throughout Manhattan including Upper East Side, Upper West Side, Midtown, Chelsea, Greenwich Village, SoHo, Tribeca, Lower East Side, Financial District, Battery Park City, Hell's Kitchen, Murray Hill, Gramercy, Flatiron, Union Square, East Village, West Village, NoHo, NoLita, Little Italy, Chinatown, Two Bridges, Kips Bay, Stuyvesant Town, Peter Cooper Village, Roosevelt Island, Harlem, East Harlem, Morningside Heights, Hamilton Heights, Washington Heights, Inwood, and all surrounding Manhattan neighborhoods.

Staten Island Service Areas: We provide complete Staten Island coverage including St. George, Tompkinsville, Stapleton, Clifton, Rosebank, Arrochar, South Beach, Midland Beach, New Dorp, Oakwood, Bay Terrace, Great Kills, Eltingville, Annadale, Huguenot, Prince's Bay, Tottenville, Pleasant Plains, Charleston, Rossville, Woodrow, Richmond Valley, Port Richmond, West Brighton, New Brighton, Mariners Harbor, Arlington, Graniteville, Bulls Head, Bloomfield, Silver Lake, Todt Hill, Emerson Hill, Dongan Hills, Grant City, Richmondtown, Willowbrook, New Springville, Travis, Chelsea, and all Staten Island neighborhoods.
1.3 Scope Limitations and Exclusions
Services described in quotes or work orders define the agreed scope of work. Any additional work, modifications, or requests beyond the original scope require written authorization from Client and may incur additional charges based on labor time, materials, and complexity. Company provides pricing estimates based on Client-provided information regarding site conditions, access requirements, and installation specifications. If actual site conditions differ materially from Client representations, pricing may be adjusted accordingly.
Company reserves the absolute right to refuse any work deemed unsafe, illegal, impractical, beyond our technical expertise, in violation of building codes or safety regulations, involving hazardous materials requiring specialized licensing, or presenting unacceptable liability risks. Refusal of work does not constitute breach of contract and may result in Client responsibility for trip charges or cancellation fees as applicable.
2. Scheduling, Appointments, and Service Windows
2.1 Appointment Scheduling
Appointments are scheduled based on technician availability, geographic routing efficiency, project complexity, and client preferences. Company offers various scheduling options including specific date appointments, flexible scheduling windows, and emergency service requests. Scheduling may be completed through our online booking system, telephone coordination, email communication, or in-person arrangements.
Standard service windows are typically 2-4 hour blocks to accommodate multiple appointments and unforeseen delays. Clients requesting specific appointment times may be subject to premium scheduling fees or longer lead times. Company will make commercially reasonable efforts to arrive within the scheduled window but cannot guarantee exact arrival times due to factors beyond our control including traffic conditions, weather delays, prior job complications, equipment failures, or emergency service interruptions.
2.2 Arrival Notifications
Technicians will attempt to provide advance notice of arrival within the scheduled window via telephone call or text message when contact information is available. However, Client is responsible for ensuring availability throughout the entire scheduled service window. Failure to answer arrival notifications does not constitute grounds for appointment cancellation or refund.
2.3 Delays and Rescheduling
Company will make reasonable efforts to notify Client of significant delays exceeding 30 minutes beyond the scheduled window. Delays caused by traffic, weather, equipment issues, prior job extensions, emergency service interruptions, or other circumstances beyond Company control do not constitute breach of contract and are not grounds for service refunds, price reductions, or damage claims.
If Company must reschedule an appointment due to technician illness, emergency situations, equipment unavailability, or operational requirements, we will make good faith efforts to accommodate Client's schedule preferences for the rescheduled appointment. Rescheduling by Company does not entitle Client to compensation, price reductions, or consequential damage claims.
2.4 Client Cancellation Policy
Advance Cancellation (24+ Hours): Client may cancel or reschedule appointments with at least 24 hours advance notice without penalty. Cancellation requests must be submitted via telephone, email, or through our online booking system and require confirmation from Company.
Short Notice Cancellation (Less Than 24 Hours): Cancellations received less than 24 hours before the scheduled appointment will incur a cancellation fee of $75 to compensate for scheduling losses, technician allocation, and route planning. This fee must be paid before future appointments will be scheduled.
No-Show Policy: If Client is not present, does not provide site access, fails to respond to arrival notifications, or otherwise prevents technicians from completing scheduled work, Client will be charged the full quoted service fee as a no-show charge. No-show charges are non-refundable and must be paid before future services will be provided.
Access Denial: If technicians arrive at the scheduled time but Client denies access due to failure to obtain landlord permission, building management approval, HOA consent, or other authorization requirements, Client will be charged the full service fee. It is Client's sole responsibility to ensure all necessary permissions are obtained before the scheduled appointment.
Weather-Related Cancellations: In cases of extreme weather events making service delivery unsafe or impractical, Company may cancel or reschedule appointments without penalty to either party. Client will be notified as soon as reasonably possible, and rescheduling will be prioritized based on the original appointment date.
3. Payment Terms
Payment is due in full upon service completion unless alternative payment arrangements have been made in writing. Accepted payment methods include cash, credit card, and electronic payment.
Pricing is based on estimated work requirements and may be adjusted if site conditions differ from Client representations. Client will be notified of price adjustments before additional work commences.
Late payments are subject to interest charges of 1.5% per month. Unpaid balances may be sent to collections, and Client will be responsible for all collection costs including reasonable attorney fees.
4. Site Access and Preparation
Client must provide safe, legal access to the installation site. Client is responsible for obtaining all necessary building permits, landlord approvals, and homeowner association permissions.
Client must prepare the work area by:
- Removing furniture, decorations, and personal items from the work area
- Providing clear access to installation locations and electrical panels
- Ensuring adequate lighting and safe working conditions
- Securing pets and removing obstacles
- Disclosing any known hazards or structural concerns
Failure to prepare the site may result in appointment rescheduling and applicable cancellation fees.
5. Warranty on Workmanship
Company warrants workmanship for 30 days from service completion. If installation fails due to defective workmanship within this period, Company will repair or reinstall at no additional charge.
Warranty does not cover damage from Client misuse, alterations, structural failures, acts of God, or third-party equipment defects. Company is not responsible for equipment functionality or manufacturer warranties.
6. Client Property and Damage
Company will exercise reasonable care to protect Client property during service delivery. However, installation work inherently involves drilling, wiring, and modifications that may result in minor wall marks, paint touch-ups, or surface disturbances.
Company is not liable for damage to concealed pipes, wires, or structural elements not visible or disclosed prior to work. Client is responsible for disclosing all known hazards and structural conditions.
7. Limitation of Liability
Company's total liability for any claim arising from services shall not exceed the amount paid by Client for the specific service. Company is not liable for consequential, indirect, special, or punitive damages.
8. Dispute Resolution
Any disputes arising from this Agreement shall be resolved through binding arbitration in New York County, New York, in accordance with the American Arbitration Association rules.
BY AGREEING TO THIS SERVICE AGREEMENT, CLIENT WAIVES THE RIGHT TO JURY TRIAL AND CLASS ACTION PARTICIPATION.
9. Governing Law
This Agreement shall be governed by the laws of the State of New York, without regard to conflict of law principles.
10. Entire Agreement
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between Client and Company. Any modifications must be made in writing and signed by both parties.
